1. About these terms
These terms are an agreement between ZenByte Australia Pty Ltd (ABN 38 698 761 956) of Adelaide, South Australia (“ZenByte”, “we”, “us”) and the club that subscribes to MemberCrew (“the club”, “you”).
The person who accepts these terms for the club confirms that they are authorised to do so. These terms include our data processing terms, which explain how we handle the club’s member information. Our privacy policy explains how we handle personal information more generally.
2. The service
MemberCrew is membership software for motor vehicle clubs. It covers members and renewals, invoices and payments, vehicles and log books, the SA Conditional Registration Scheme reports, events, reports, a member portal and an activity log.
Some features are marked “coming soon” on our website. They are not part of the service until we release them. Optional extras, such as the club website add-on, are part of the service only once the club chooses them.
3. The Conditional Registration Scheme
MemberCrew helps clubs keep the records and produce the reports the SA Conditional Registration Scheme asks for. Each club remains responsible for meeting its own Scheme obligations. That includes checking its reports and sending them to the Registrar of Motor Vehicles and the Federation of Historic Motoring Clubs SA on time. MemberCrew does not lodge anything for the club.

4. Accounts and roles
- The club decides who can log in for it and gives each person a role, such as admin, registrar, treasurer or editor. Each role sees only what it needs.
- The club is responsible for the people it gives access to, and for removing access when someone leaves the committee.
- Everyone who logs in must keep their login details to themselves and tell the club, or us, if they think someone else has used them.
5. Fees and billing
All prices are in Australian dollars and include GST.
Core plan. The monthly price depends on the club’s number of current members:

- The band is set once a year, at the club’s renewal date, from the number of current members on that date. Changes in membership during the year do not change the price until the next renewal date.
- Club website add-on: $50 a month, when the club chooses it.
- Paying yearly: a year costs 11 months’ price.
- Setup fee: a one-off fee to move the club’s records into MemberCrew, quoted per club, including GST.
- Billing. We bill clubs through Stripe. Placeholder: billing in advance or in arrears, payment terms and due dates
- Members’ payments. MemberCrew takes no cut of what members pay the club. When online payments are available, members pay into the club’s own Stripe account, and the club pays Stripe’s card fees to Stripe directly.
6. The club’s data
- The club owns its data. Everything the club enters into MemberCrew, or that we import for it, belongs to the club.
- The club gives us permission to store and process its data only to provide the service, as set out in our data processing terms.
- The club can export all of its records at any time.
- The club is responsible for having the right to collect and use its members’ information, and for telling its members how it does so.
7. Acceptable use
The club and everyone who logs in for it must not:
- use MemberCrew for anything unlawful, or to send spam;
- enter information the club has no right to hold;
- try to get into other clubs’ records or parts of MemberCrew their role does not allow;
- interfere with MemberCrew or its security, or try to copy or resell it.
8. Support
Support is by email at support@membercrew.au, from the people who build MemberCrew. When a club starts, we move its records across and show its committee around. Placeholder: support hours or response times, if any
9. Availability
We use reasonable efforts to keep MemberCrew available and working. We do not promise that it will be available all the time or free of errors. We may need to take it offline briefly for maintenance or updates.
10. Suspension for non-payment
If the club’s fees are overdue, we will tell the club and give it Placeholder: notice period to pay. If they are still unpaid after that, we may suspend the club’s access until they are paid. The club’s data is not deleted because of a suspension.
11. Ending the agreement
- The club can end this agreement by telling us. Placeholder: notice period, and what happens to fees already paid for a yearly plan
- We can end this agreement by giving the club Placeholder: notice period notice, or sooner if the club seriously breaches these terms.
- When the agreement ends, the club gets a full export of its records. Its data is then deleted on request, once the club confirms it has the export. Records the law requires us to keep, such as activity and compliance records the Scheme requires for five years, are kept for that period.
12. Changes to these terms
We may change these terms. We will give the club at least Placeholder: notice period notice by email before a change takes effect. If the club does not agree with a change, it can end the agreement before the change takes effect.
13. Liability
The Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or changes those guarantees or any other right the law does not allow us to exclude.
To the extent the law allows:
- where we fail to meet a guarantee, our liability is limited to supplying the service again or paying the cost of having it supplied again;
- we are not liable for indirect or consequential loss;
- our total liability under these terms is limited to Placeholder: liability cap.
14. Governing law
These terms are governed by the law of South Australia. The club and ZenByte submit to the courts of South Australia.
